END USER LICENSE AGREEMENT (EULA)

Effective Date: August 1, 2025


This End User License Agreement (“Agreement”) is a binding legal contract between DynaTrail Dispatch Systems Inc., a corporation incorporated under the laws of British Columbia, Canada (“Company,” “we,” “our”), and you, the individual or entity accessing or using our web-based dispatching platform (“User,” “you,” or “your”).

By accessing or using the DynaTrail Dispatch Systems software and services (collectively, the “Software”), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not use the Software.

1. LICENSE GRANT AND SCOPE

1.1 License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software as a subscription-based Software-as-a-Service (SaaS) platform, including all current and future versions, updates, and enhancements.

1.2 License Types:
Carrier License: Licensed per 5-truck tier (e.g., 1–5 trucks, 6–10 trucks, etc.).
Broker License: Licensed per individual user seat/login.

1.3 Access Rules:
Web-based access is permitted from multiple locations.
User account sharing is strictly prohibited. Logging in on a new browser will automatically log out prior sessions.
You must comply with all usage restrictions in this Agreement.

1.4 Prohibited Uses:
You may not share, resell, copy, reverse-engineer, use for unlawful purposes, or bypass any security or licensing feature. Violation may result in immediate suspension or termination.

2. QUICKBOOKS INTEGRATION AND THIRD-PARTY SERVICES

The Software pushes invoices to QuickBooks and receives payment status updates to mark invoices as paid. No other two-way sync occurs. We are not responsible for any errors, downtime, or data loss caused by QuickBooks or third-party services.

3. FEES, SUSPENSION, AND TERMINATION

All fees are billed according to subscription type and are non-refundable except as required by law. We may suspend access for overdue payments or suspected breaches. Termination ends your access immediately.

4. DATA AND PRIVACY

Our separate Privacy Policy governs any personal or business data. Users are responsible for backing up their data; we are not liable for data loss.

5. WARRANTIES AND LIABILITY

The Software is provided “as is.” We are not liable for indirect or consequential damages. Our total liability is limited to the fees paid in the prior 12 months.

6. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of British Columbia, Canada. Disputes will be resolved by binding arbitration under BCICAC rules.

7. MISCELLANEOUS

This Agreement is the entire understanding between the parties and may be updated by posting a revised version on our website.

By using DynaTrail Dispatch Systems, you acknowledge that you have read, understood, and agree to this Agreement.
